NSG to Proceed with £1.8bn Cash Acquisition of Pilkington plc

Nippon Sheet Glass Co Ltd (NSG) yesterday resolved to proceed with a recommended cash acquisition of the entire issued share capital of British glass maker, Pilkington plc to make it a wholly owned subsidiary of NSG. Pilkington is a c.20% owned affiliated company and global business partner of NSG. NSG has issued the following statement:

Following the completion of this Transaction, the combination of NSG and Pilkington will be a global leader in the flat glass industry with the largest market share in the world (NSG estimates) and approximately 760 billion yen of sales. NSG will be further strengthened with increased competitiveness in costs, quality and service and able to take full advantage of enhanced economies of scale and combined technologies. Given these expected achievements, NSG believes that this Transaction will significantly enhance shareholder value.

The Transaction is a friendly acquisition and is being recommended by Pilkington's board. Pilkington's CEO and other key management members have agreed to continue their commitment to Pilkington and NSG group management post-Transaction.
The acquisition price is 165 pence (approximately 340 yen) per share, and the estimated funds required for the acquisition of the c.80% of shares not already owned by NSG will be approximately £1.8 billion (approximately 358.5 billion yen).

Total funds required for the Transaction are estimated to be £3.0 billion (approximately 616 billion yen) including refinancing of Pilkington's existing debts, and other transaction costs.The required funds will be secured through bank loan financings in UK and Japan and issuance of Convertible-Bond-Type-Bonds With Stock Acquisition Rights as well as existing internal financial resources. The financing package has been structured based on thorough consideration of the short and long-term financial stability, healthiness and flexibility of both companies.

The Transaction will be effected by a court-approved scheme of arrangement in the United Kingdom and a formal document is expected to be posted to Pilkington shareholders by the end of March 2006. Closing is expected to occur promptly after the court approval which is expected to be late June 2006. The Transaction is conditional upon anti-trust clearances in relevant countries.
Post-Transaction, Pilkington will be maintained as a NSG consolidated subsidiary and at the appropriate time, there will be a transition to a group management structure to maximise the benefit of synergies between the two companies.

In terms of the expected synergies, approximately 4.4 billion yen per year of short term pre-tax synergies are expected within three years of closing. This will include integration of engineering and development functions to eliminate surplus resources, combined purchasing power, improvement of facility utilisation through optimised production allocation, cooperative float glass productions between the two companies, integration of marketing offices, improvement of performance at plants through exchange of existing technologies.

In the longer term, the following is expected: innovation and improvement of manufacturing processes, development of new and value added products and improvement of quality levels and cost competitiveness.

The details will be announced after the completion of the acquisition.'

• It is thought that Stuart Chambers, Pilkington's chief executive, will stay on to help manage the combined business but that Sir Nigel Rudd, the chairman, will leave. Rudd, who is paid in shares, is in line for a £4m payout when the deal goes through.

NSG's offer has been partly financed by its parent Sumitomo, along with Daiwa and UBS, which has been advising NSG on the bid. Bankers said NSG's 20 per cent stake in Pilkington had provided an effective deterrent to other potential bidders and that an auction was unlikely to develop for the business, despite its strategic value.

The merger is driven by the massive demand for glass from car makers and the construction industry. It puts NSG in a position to provide serious competition to Asahi, its Japanese rival and currently the world number one glass maker with almost a quarter of the world market.

NSG, which is half the size of Pilkington, will overtake Asahi when it acquires the British company, which has around 19 per cent of the market.

Pilkington and NSG already work closely together and jointly own a manufacturing plant in the US. They also have an agreement to supply glass to the Japanese car making industry.

NSG is expected to provide assurances that it will not cut jobs in the UK and that the company's European headquarters will remain in Britain. Pilkington employs around 23,800 people and has manufacturing operations in 24 countries.


Patio Enclosures Litigation Concludes with £6m Hit for Ultraframe

Ultraframe Plc has been advised that the Ohio Court of Appeal has refused its Four Seasons business permission to appeal, in the Ohio Supreme Court, an adverse jury verdict dating back to September 2004.

This litigation, relating to Patio Enclosures and announced on 3rd September 2004, is therefore now concluded. Full provision for the original judgement and associated costs of $8.8m (£4.9m) were taken as an operating exceptional item in 2004, with a further $1.5m (£0.8 m) legal and financing costs similarly taken as an exceptional item in 2005. There will be a further, small, charge (currently not expected to exceed $0.7m (£0.4m)) in the current financial year for legal and financing costs.

Ultraframe's North America-based Four Seasons business was the subject of an adverse US jury verdict in September 2004. The case concerned a relatively junior employee of Four Seasons employed between December 2001 and May 2002, who had previously been employed by Patio Enclosures, the claimant in this case.

The case concerned alleged interference with contractual employment obligations and alleged misuse of trade secrets. The trial court entered judgement on a jury's verdict to the plaintiff, Patio Enclosures, in the amount of approximately $8.8m (£4.9m), including legal costs.

In September 2005, the Ohio Court of Appeal considered an appeal by Four Seasons but upheld the earlier adverse verdict of the jury in the lower Court. Four Seasons submitted an application for permission to appeal to the Ohio Supreme Court but has been notified that permission to appeal has been refused.


Shepley Puts the Record Straight

Shepley Window Systems has had a busy start to 2006 with the introduction of the 70mm Veka Matrix system. Le Mans Winner at Glassex!!

Three times GT1 Class winner at Le Mans, Oliver Gavin, will be making an appearance on the GlazeKart stand (A129) at Glassex on Tuesday, 7th March. Oliver is a works GM driver and heads the driving line-up in the works Corvette C6.R, sharing with ex F1 stars Olivier Beretta and Jan Magnussen. Their GT1 win at Le Mans in 2005 was the second in a row and Oliver's third in just five attempts. The three drivers will be aiming for the hat-trick of victories in this year's race in June.

Oliver is keen to see events like GlazeKart make their mark in the industry. ‘Obviously I would like to see motorsport become a bigger part of the corporate event scene,’ he confirmed. ‘GlazeKart and the other industry events organised by Walnut Motorsport mean that everyone can get involved.’

The GlazeKart stand (A129) also has some unusual features not typically seen at Glassex. The first thing that visitors will notice is a full-blooded 2-stroke racing kart and, once they are tempted on to the stand, there is an addictive table top radio-controlled racing game to keep them there!

Unitec Secures the Threshold of the Future

Unitec Hardware Ltd has announced an exclusive partnership deal with one of Europe's leading hardware manufacturers, BKV-Gluske, to distribute the company's Eifel T Threshold system in the UK.

Self-Cleaning Glass - Market Leaders know Best!

The growing acceptance of self-cleaning glass is great news for the glazing industry but fabricators, installers and end users should seek the reassurance of premium products from market-leading producers - that's the message from glass manufacturer Saint-Gobain Glass.

‘Innovations like self-cleaning glass are proving popular in a commodity market because they add value and help to lift margins throughout the supply chain, but some of the hype has been misleading to say the least. End users should be aware that the so called 'easy-clean' alternatives have a number of short comings.’

Step 3 Only when work is completed to the customer's satisfaction, do they pay the remaining balance to the installer.

Step 4 The customer returns Part 2 of the card and is sent an insurance certificate. The installation is now covered.

Second Spiror 400HP for Alcoa in Banbury

Aetna UK has been awarded a second contract to supply a Spiror 400HP to aluminium extruder, Alcoa at the company’s factory in Banbury.

The machine is equipped with all the features required to wrap aluminium without damage. Features such as polyurethane drive rollers, automatic top pressure rollers, infeed and outfeed conveyors and automatic side roller adjustment, are ideal for a demanding duty cycle with random cross sectional pieces.

The 400 model can handle product groupings from 25mm to 300mm wide and from 20mm to 200mm tall without adjustment. Minimum length 800mm, maximum length is infinite. For larger sections, Robopac makes 8 different ring sizes up to a maximum 2500mm.

A touch screen display and the ability to store 10 separate programs which can be recalled in seconds, comes as standard. The Spiror 400HP is fully guarded to CE standard and has electronically variable conveyor and ring speeds to give optimum film overlap and linear speed. Standard 250mm wide film can be used from 15 to 50 microns thick, both plain and printed.

Aetna's managing director Mark Tucker explains why the Spiror has become so popular in the extrusion markets. ‘One big advantage that the Spiror gives all customers is that the use of stretch film is both cheap and highly effective in keeping the packs tight during transportation. Transport 'fretting' has always proved a problem for boxed goods and previously, aluminium coaters and painters have used tissue paper and strapping, to try and deliver their products in pristine condition to the end user.’

Added Tucker ‘The Spiror has a maximum speed of 30m per minutes, which means that the time to wrap products quietly and safely has been dramatically reduced. Stretch film holds the individual pieces so tightly that they cannot vibrate together. Also because the load is spread over a larger area than, say plastic strapping, there is no risk of distortion and the end user benefits by having less packaging waste to dispose.’

Aetna UK provides after sales service from its offices in Bedford. The company also uses its own regionally based UK engineers and advisors to support its many customers and believes that its team, which has been in place for many years, is now the most experienced in the United Kingdom. Aetna says that this is the area in which it has a serious advantage over its competitors.

HOPPE Announces Fapim Partnership

Like a car without seat belts, a public building can't be used unless it has the appropriate emergency exits. Choosing the right brand of emergency exit hardware has the potential to not only add peace of mind but also style to an interior. Framework Group Expands Across the South

The Torquay-based Framework Group is expanding with the opening of a new Trade Windows Direct trade counter in Barnstaple to supply installers and builders throughout the south west with Rehau windows, doors and conservatories.

Framework is looking to build on the success of its original Trade Windows Direct counter in Torquay and provide a further outlet for frames in Rehau's 60mm, 70mm and Heritage vertical slider systems.

From these first two trade counters, Framework plans to set up a distribution network for Trade Windows Direct across the south of England to meet what it believes is the untapped demand for its ‘blend of Rehau quality and exceptional customer service’.

It has a fleet of delivery vehicles and can supply installers from the very tip of southern Cornwall right up to London and the Home Counties.

Framework is closely associated with Rehau, having originally built its name as a Rehau installation company. It continues to install commercial contracts throughout the south and has begun specialising in the REHAU-Polytec 50 composite curtain walling system.

John Stockman adds:

‘Rehau is easy to fit and consistently performs well so installers and builders really like the system.

'We want to establish ourselves as the leading source for Rehau windows in the south and west and believe we are well on the way to achieving our aim.

'We will open further trade counters in the future but we already have the infrastructure in place to deliver to customers up to 200 miles away.’

Framework has two locations in Torquay, one which houses the installation and Trade Windows Direct business and one where it manufactures the REHAU-Polytec 50 system, alongside aluminium windows and doors.

The company is an associate of Pemberstone Group, a highly successful multi-million pound property company which previously also owned a controlling share in Paignton-based fabricator Interframe.

Pemberstone disposed of its interest in Interframe in 2003 to focus on the development of Framework and its involvement has helped Framework reach its current turnover of approximately £4m.


Spectus Moves to New Offices

Spectus Systems is gathering its office team under one roof at a new state-of-the-art premises close to its Macclesfield extrusion plant. Spectus anticipates that the new offices will allow administrative staff to cultivate close working relationships in a professional environment.

The move to different premises reflects the aspirations of the business in its 25th anniversary year. Previously, staff were scattered through various locations.

Moving the teams under one roof will allow the company to work as an integrated unit, and as a result will improve the quality of the help, advice and support.

The new offices will provide a more professional working environment, and visiting customers will find the experience more productive and pleasant. Spectus says that it continues to have one of the best research and development facilities, and a reputation for product development and innovation.
