Mellon Reckons Latium Bid Undervalues Ultraframe

Mellon HBV Alternative Strategies, a registered investment adviser and a subsidiary of Mellon Financial Corporation, owns approximately 11.65% of Ultraframe's issued share capital. In a letter dated 8 June, Mellon HBV informed the board of Ultraframe that in its view the recommended 30p offer by Latium Holdings Ltd undervalues Ultraframe. To this end Mellon HBV does not intend to accept the Latium offer but would, subject to due diligence, support a recapitalisation of Ultraframe by underwriting a rights issue and assisting Ultraframe to secure new long term bank facilities.

In its letter to the board, Mellon HBV informed Ultraframe that it believes greater value can be created through alternative proposals. In particular, the company would be willing to support the following Recapitalisation Proposal:

• A rights issue by Ultraframe to raise 15 million pounds sterling, fully underwritten by Mellon HBV (together with any other supportive shareholders);

• A new 10 million pounds term loan facility to replace the existing facility together with a 10 million pounds revolving credit facility;

• The development of a new business plan to grow the business and create additional value for all investors.
Ultraframe shareholders who wish to support the Recapitalisation Proposal could take up their rights. Alternatively, the nil paid rights could be sold and/or existing positions in Ultraframe could be realised through the open market.

Mellon HBV is making this announcement in order to enable full and open discussion to be held with Ultraframe and other investors in relation to the Recapitalisation Proposal.

To further develop the Recapitalisation Proposal, Mellon HBV would like to carry out limited due diligence into the Company's business and has asked Ultraframe for the information that was provided to Latium. Mellon HBV would of course be prepared to sign a confidentiality agreement in order to receive this information.

Latium’s Recommended Offer

In the absence of any firm proposal from any other party which delivers better value for shareholders, the Board continues to recommend Latium’s Offer, which it believes is in the best interests of shareholders. In recommending the Offer of 30 pence per share plus an entitlement to a litigation note, the Directors have also taken into account the significant Group liabilities which Latium would acquire as part of the transaction, including Group net debt, which was £23.0 million as at 31 March 2006, as well as continuing significant litigation uncertainty.Rod Sellers, Chairman of Ultraframe, said:"We have reviewed the proposal from Mellon regarding an alternative strategic option for Ultraframe. The Board has still not received any proposal for an offer, indicative or otherwise from Berggruen. The Board continues to believe that, in the absence of any firm proposal which would deliver greater value to our shareholders, the Offer from Latium remains in the best interests of our shareholders and our employees, and the Directors unanimously recommend that shareholders accept it.”

Resilience/Berggruen Interest

Last week, Ultraframe reported that it had received interest from two American Investment Groups. Resilience is a private equity firm with an investment philosophy focused on investing in lower middle-market underperforming and turnaround situations. It acquired Slazenger in 2002. Its managing partner, Steve Rosen, states that Resilience aims to 'save the day for worthwhile companies.'

Berggruen has offices in New York and London, and is one of the investment vehicles for the Berggruen family whose assets exceed $1billion. Its portfolio includes AAI Foster-Grant.

Meanwhile, company founder John Lancaster revealed that Berggruen had looked at Ultraframe some time ago, but nothing had been forthcoming. He stressed this week that before recommending acceptance of Latium's offer, the board and its advisers had explored separate sales of the company with more than 80 buyers.

Talking about the current situation, he said that the two companies appeared 'very interested' and had the necessary finances. He added that there was a lot of work involved and an offer was needed by Tuesday.

From its floatation at £1.47. the share price rose to a high of more than £6 in three years and many local employees who received free shares, cashed them in and made a financial killing. However, others, believing that times would change, hung on and some have been highly critical of the company's recent moves.

Describing the week's events as 'an emotional roller-coaster,' Mr Lancaster said that he was aware of the criticism, but added, "the way things are at the moment, I only want to do the best for everyone. The business is dear to me. It's very difficult due to the present trading of the company.

'I want people to know that I am very emotional about all this. It means a lot personally. It's all about other people and we just want to do the best. It's going to be quite difficult.'


GGF Invited to Construction Industry Round Table

The Glass and Glazing Federation (GGF) announced today that it had been invited to attend a construction industry round table meeting on Building Regulations by Angela Smith MP, Parliamentary Under Secretary of State at the newly formed Department for Communities and Local Government (DCLG).

The meeting is due to take place later this month and Angela Smith indicated that she saw it as a 'useful opportunity to take stakeholder views on the strategic direction of Building Regulations and how we take forward reform of the regulations announced in the response to the Barker review on housing.'

Eurocell Places Major Order for Combilift Forklift Fleet

Eurocell Profiles Ltd. has placed an order for a substantial fleet of Combilift 4-way forklifts to work in its extensive national network of over 70 distributor branch locations.

Eurocell was in fact the first company in the UK to spot the potential of the 4-way Combilift in the early days of the forklift's development. The first UK Combilift was delivered to Eurocell's manufacturing distribution centre in Alfreton, Derbyshire in 1998. Twenty 4-tonne capacity LPG models are now in operation across Eurocell's 4 manufacturing distribution centres.

More recently the focus has been on maximising storage space at the company's distributor branch locations, and an executive decision was made to carry out extensive trials of a newly developed 2.5t capacity compact Combilift model at two of these branches. Eurocell's collaboration with a long established Combilift distributor, Apollo Plant, resulted in identification of the need for more streamlined operations which would also enhance health and safety procedures at the distributor branches.

The Combilift delivered very successful results, cutting down four handling manoeuvres with two operatives to one single manoeuvre with one member of staff. This has resulted in substantial orders for a customised fleet designed to work in the very narrow confines of many of the branches, featuring a special short 850mm platform. Side shift has been fitted as standard to all Eurocell trucks, making it much easier and quicker to stack stillages, which each have six to eight locating posts, in the stores and on delivery lorries.

World Cup Fever Hits Advantage

In a spontaneous display of loyalty towards the England world cup team, employees at Advantage Windows and Conservatories Ltd - the Cheshire based trade fabricator -arrived for work be-decked in their England tee-shirts.

During the World Cup Advantage is running a special promotion. Palda First to Fabricate new 2500 Chamfered Suite

In August, Southall-based fabricator, Palda Windows, will become one of the first to fabricate Deceuninck's new 2500 Chamfered suite. ‘We'll not only be trailblazers for Deceuninck's new system, we'll also be providing our commercial customers with the design they need.’ says the company.

Palda Windows has been fabricating Deceuninck's 2800 Decorative suite since January 2006, with considerable success. George Barnsdale Achieves Top BFRC Rating

Timber window specialist George Barnsdale has achieved a British Fenestration Rating Council (BFRC) 'A' Energy Rating, with BM TRADA, proving that its C1E Eco Stormproof casement window is among the most thermally efficient in the market. To date only a dozen windows have achieved the 'A' rating and the company believes this is first timber window to do so.

The company is working hard to ensure that all of its window range can be BFRC-rated by the end of the year, said Managing Director Stephen Wright. George Barnsdale has invested in training its own BFRC-certified simulator to speed up the process.

Based in Donington, South Lincolnshire, George Barnsdale has been manufacturing high quality timber windows, doors and stairs since 1884. Onwards and Upwards for LDG

That’s basically what has been happening at the Lancashire Double Glazing Group Ltd since the company took over Raymond Wood Commercial Ltd in 1994 and moved into its current premises in Lund Street at the beginning of 1998.

At a time when there are many reports of the industry being in melt down and many companies going into liquidation or receivership the LDG Group says that is bucking the trend and going from strength to strength.

Continued expansion has meant that M.D. Bill Forsyth has had to purchase a 4 acre site in the heart of Preston and go out and build a new purpose built factory for the Commercial Division of the Group.

The Directors have decided to keep the existing factory and head office for trade and retail supply and to re-house Raymond Wood Ltd, which specialises in Aluminium fenestration and LDG Commercial which currently does larger UPVC commercial installations.

To date LDG Commercial has carried out over 4000 commercial contracts and have worked in over 300 schools in Lancashire alone and Raymond Woods Ltd. has carried out a similar number with many prestigious contracts included, such as; The Solaris Centre and Devonshire Road High School in Blackpool as well as installs at B&Q Super Stores, Focus, KFC, Magnet and many more major retailers.

US Resin Maker Goes Downstream with Royal Group Buy

PVC raw material manufacturer Georgia Gulf is to buy Canadian window profile manufacturer Royal Group of Toronto for a total of CAD$1.7bn. This includes CAD$491m of assumed net debt as of March 31st 2006.

The companies reached agreement on the deal late last week, citing benefits from the vertical integration of the Atlanta-based resin maker with the downstream PVC user. Royal Group is a leading producer of PVC building and construction products, including custom window profiles, roofline and cladding and pipes.

The value represents a premium of 43% over the Royal share price and the take over 'should result in a stronger, more competitive combined company in the vinyl building and construction prooducts industry'.

With annual sales of around CAD$1.5bn, Royal Group tops the rankings of PVC window profile makers.

The company has been up for sale for more than one year and local analysts had wondered whether a buyer would emerge for the Canadian firm, subject of regulatory probes into its practices.

'We believe that the combination of Georgia Gulf and Royal Group will result in a formidable force in the vinyl products industry,' said Royal president and chief executive Lawrence Blanford.

Georgia Gulf has a good track record of successfully integrating businesses, according to Ed Schmitt, chairman, president and chief executive, 'as evidenced by our 1998 acquisition of North American Plastics and our 1999 acquisition of Condea Vista'.

A Partnership that's Standing the Test of Time

August 2006 marks the start of a new phase in the long-term partnership between Anchor Windows and Deceuninck. It's the date when the Ebbw Vale-based fabricator will devote production to Deceuninck's 2800 Decorative Series.

BM TRADA Assesses Hospital Performance Doorsets

Construction of the first phase of the new Derby City Hospital has been completed with the Kings Treatment Centre handed over to the Derby Hospital's NHS Foundation Trust in March 2006.

TDSL has supplied doorsets, hardware and ironmongery for the healthcare facility, constructed by Skanska in a contract worth several million pounds. With any healthcare establishment, safety and quality are prerequisite requirements and TDSL uses BM TRADA as an independent third party assessor for the company's entire range of doorset products.

‘We are members of the BM TRADA Q-Mark Scheme, and our systems are checked for compliance and compatibility,’ comments Frank Gallagher of TDSL.

Major Commendation Award for Roof Light

A Major Commendation Award was presented to Hambleside Danelaw Ltd, Daventry for its Insulator Roof Lights at The Lincoln Centre, London on 7th June 2006 by David Cameron MP Leader of the Conservative Party.

'The Insulator Roof Light is a translucent glass fibre reinforced polyester roof light fitted with an acrylic tessellated prism panel. Unlike other manufacturers who merely added a third layer of GRP sheeting to meet the legislation, we looked for a completely new solution. 

The resulting panel meets or exceeds the requirements of current legislation and at the same time reduces solar gain, increases light diffusion and reduces noise pollution when compared to a normal triple skin roof light. 

The technology was based upon panels made in the aerospace industry where they manufacture aluminium honeycomb panels for strength and lightness in aircraft structures. The product works by creating a series of pockets that prevent the movement of the air within the roof light. The tessellated prism also acts as a 'lens' to improve the distribution of light to create an improved work environment when compared with traditional GRP roof lights.'

ASA Adjudication Against Euroclad Advert

An Industry Complaint to the ASA objected to an advert in Building Magazine, for Euroclad's roof and cladding materials, was upheld in two of its three areas of complaint. The advert claimed ‘Sustainable construction is a major consideration for all building owners and developers. And it's why we've developed Euroclad Excel Systems. It's also why we insist on mineral wool insulation, steel and aluminium skin cladding and austenitic stainless steel fixings. All materials used are totally recyclable for zero environmental legacy.’

Kingspan Ltd challenged:

1. the claim ‘All materials used are totally recyclable’, because Euroclad's building systems also included materials like sealing tapes, sealants and plastic stick pins;
2. whether the mineral wool fibre used by Euroclad was 100% recyclable and
3. the claim ‘totally recyclable for zero environmental legacy’.

Adjudication:
1. Complaint upheld
Euroclad said they had withdrawn the ad and they did not intend to repeat it. They said the claim ‘All materials used are totally recyclable’ referred to the materials mentioned in the preceding text: ‘It's also why we insist on mineral wool insulation, steel and aluminium skin cladding and austenitic stainless steel fixings.’ Euroclad said a small amount of tape and sealant were used in all metal cladding systems. They said they apologised if their claim had been misinterpreted.

The ASA noted text preceding the claim referred to a list of materials that Euroclad said were recyclable. However, we considered that the claim ‘All materials used are totally recyclable’ implied every material used by Euroclad was totally recyclable. Because that was not the case, we concluded that the claim was misleading. We noted the ad was no longer appearing but told Euroclad not to repeat the claim in future advertising.

On this point, the ad breached CAP Code clauses 3.1 (Substantiation) and 7.1 (Truthfulness).

2. Complaint not upheld
Euroclad said they specified Rockwool mineral wool fibre for use in Excel Systems roofing and cladding. They provided us with a letter from the manufacturer which stated that their product was 100% recyclable. Euroclad said they also offered the cheaper option of glasswool and provided a letter from the glasswool manufacturer which stated that their product could be fully recycled after use.

Kingspan believed that the ad implied all the mineral fibre used in Euroclad's systems could be recycled after use at the end of a building's life. They pointed out that the mineral wool would become contaminated by the demolition and removal process making it impractical and costly to recycle. They believed the ad was misleading because the mineral wool was not likely to be recycled in practice.

We acknowledged that the mineral wool fibre used by Euroclad was fully able to be recycled. We considered that readers of Building Magazine were likely to understand the ad referred to mineral wool being able to be recycled not that the mineral wool would definitely be recycled after use in a building. We did not object to the claim.

On this point, we investigated the ad under CAP Code clauses 3.1 (Substantiation) and 7.1 (Truthfulness) but did not find it in breach.

3. Complaint upheld
Euroclad offered to amend the claim to state ‘recyclable for minimal environmental legacy.’

We considered that the claim ‘totally recyclable for zero environmental legacy’ implied Euroclad's materials caused no environmental damage at any point in their life cycle. We understood that the processes involved in the manufacturing and recycling of materials could harm the environment. We noted Euroclad had not provided substantiation to show that their materials did not cause any environmental damage throughout their full life cycle. We concluded that the claim was misleading. We welcomed Euroclad's offer to amend the claim and advised them to seek the assistance of the CAP Copy Advice team.

On this point, the ad breached CAP Code clauses 3.1 (Substantiation), 7.1 (Truthfulness) and 49.2 (Environmental claims).

Major New Door Contract Secured

One of the largest single Government contracts for doors has been awarded, as part of a partnership agreement between Sheffield Homes, Kier Sheffield, Arnold Laver and JELD-WEN.

JELD-WEN, one of the UK's leading manufacturers of joinery products to the social housing market, has been contracted to supply 80,000 composite doorsets as part of the Deputy Prime Minister's (ODPM) Decent Homes Programme in Sheffield.

Sheffield Homes, in conjunction with Kier Sheffield LLP, chose Arnold Laver to manage the contract throughout the five year agreement, because of the merchant's strong presence in the city and reputation for service.

JELD-WEN was selected as the preferred supplier due to its high performance products and World-class facilities, which will assist Sheffield Homes in fulfilling its commitments to tenants and TARAs (Tenants and residents associations).

Sheffield Homes Director of Investment Jon Lovibond said: ‘We always try to involve tenants when we are looking at new products for their homes and we are delighted that they took such an active part in developing this contract for new doors. We now look forward to seeing tenants enjoying the benefits of the extra security and choice in design that the contract will provide.’

This development is another excellent example of Sheffield Homes and Kier working with the supply chain to develop best value solutions on the Decent Homes contract to benefit both the client and the tenants.

Production of the new composite doorsets will take place at JELD-WEN's site in Sheffield, which has recently benefited from a multi-million pound investment in new manufacturing facilities and a world-class research & development centre.Andrew Laver, managing director at Arnold Laver, which is also based in Sheffield, said: ‘This new partnership has only been achieved by a genuine collaboration from tenant through to supplier. It is in keeping with the ODPM's objectives and puts the project at the forefront of European urban renewal standards.’

Tenant choice was an important part of the agreement, with a wide range of composite doorsets available, including six different front doorset styles and three back doorset styles, with each doorset available in six different colours.

‘We have developed the ideal door solution for Sheffield Homes, where security and peace-of-mind for tenants was paramount,’ explains Mike Wolstenholme, managing director of JELD-WEN. ‘Tenants Groups decided on the colours and styles they wanted and actually chose to limit the choice available to give their homes a more uniform look and feel.

These doorsets boast one of the best specifications supplied to any social housing project in the country.’

Produced to meet Secured by Design requirements, the doorsets feature a multipoint security locking mechanism that gives tenants enhanced security and reassurance. All doors meet with the latest Part L legislation, providing tenants with the benefit of energy efficiency in the area most likely to result in heat loss in the home.

Doorsets are supplied pre-finished, which maximises performance and minimises on-site installation time, ensuring least disruption to tenants. In addition, tenants will benefit from low maintenance for their doorsets as JELD-WEN provides a 10 year guarantee against manufacturer's defects as standard.

Maco and Window Glass Breaking New Ground in Door System Development

The Window Glass Co in Bristol has been working with Maco on the development of a new polyamide thermally broken aluminium door system for which Maco has developed and manufactured dedicated striker plates.

Maco recently tested the doors in-house in accordance with the requirements of PAS23 and PAS24 fitted with the Maco 2 Hook and 2 i.S. security cam door lock. The first door was mechanically loaded and all loading points were successfully tested. System Designer Nigel Wright commented ‘It was remarkable to see how little damage was done to the door, I then asked Maco to test the top hook to destruction, we beat the test rig at 8.4Kn as a higher load could not be applied, at the end of the test we could open and fully operate the door’.

A second door was tested on the Maco hard and soft body impact rig and again the door flew through the test without any problem. It was still in full operational afterwards. Nigel also went on to say ‘This test backs up the in-house abusive test that we are doing. We have for some time had a door on test (1200 mm wide x 2600 high) within the factory and our staff have had our full blessing to take out their anger on the door, it has been repeatedly slammed, kicked and has even had people hanging from the opening leaf. Despite this abuse the door still works as smoothly as the day it was first manufactured’.

Technical Director Mark Bryant added ‘This testing will help us when winning contracts for the new door, we have recently been awarded a contract to supply windows, doors and curtain walling for the Four Pillars Hotels at the Cotswold Water Park, South Cerney, Gloucestershire.

‘It is now our intention to have an accredited security test done in accordance with PAS23 and PAS24, this coupled with the approval of the Maco lock by SBD and the ABI and with the lock being BBA approved, we see no reason why we should receive any objections to the quality and performance of our new door’.

Sheerframe Windows Prove Longevity in Chesterfield

Chesterfield Borough Council has notched-up 21 low window-maintenance years with the Sheerframe PVC window system, with an assessment of its very first installation revealing window frames in excellent condition.

The council’s landmark decision in 1985 to switch from timber and the now defunct Blacknell Timberplast system to Sheerframe is paying real dividends today. More than two decades on, the windows installed at the first properties in the programme are still performing extremely well and are aesthetically sound.

It was in Burnbridge Road in Whittington that Sheerframe windows made their debut in the borough. Today, those same windows are still making a significant contribution to the comfort and thermal efficiency of the homes. Remarkably, even though a much earlier design of the Sheerframe profile, the energy performance of the windows is still sufficient under 2006’s much tougher regulations on window design.

By maintaining long term relationships with suppliers, the council could manage maintenance simply. However, in reality, the Sheerframe windows have barely required any repair in 21 years and even now the recently introduced maintenance programme is mainly only in place to cover lubrication and replacement of hinges plus some cosmetic cleaning.

Chesterfield Council’s contracts and PVC manager Mick Heath says 'There is a lot of talk about life-expectancy of PVC windows. Our experience is that they have been trouble-free for 20 years and we expect them to remain so for as long again, and more.

'If we had stuck with timber, we would have had repainting programmes every five years and estimate that we would have had to replace the replacement windows probably twice more between 1985 and 2006. In terms of sustainability, there’s no contest – PVC wins, hands down.'

Chesterfield Council’s direct labour organisation, with technical support from L.B. Plastics, set up its own Sheerframe production unit to handle the requirements back in 1985 and that is still going strong today. So successful has the fabrication operation been that - at one point - 80 per cent of its production output was being sold on to other local authorities.

'What has happened at Chesterfield is reflected on public housing developments across the UK and sends out a clear message about longevity and sustainability of PVC for those who would challenge its credentials,' according to David Strang, Sheerframe product director.

He continues 'A programme which started in 1985 and which has been consistently followed ever since has achieved significant cost-savings for the council, has improved homes for council tenants and has delivered a long-term, low maintenance, eco-friendly solution to the process of building maintenance.'

With more than 23 years of technical and international management experience, Rochard has played a key role in research and development efforts, developing, implementing and managing global marketing and sales strategies and creating long-term partnerships with Bekaert’s valued customers. In his new role, Rochard will be responsible for the management of the sputter products team worldwide, from research and development to customer sales and support.

Rochard received an MBA from EM Lyon program and his engineering degree from ICAM Lille.

Bart Verlinden, Technology & Key Learning Manager for Sputter Products
Verlinden joined Bekaert from Agfa Gevaert NV, and brings with him more than 20 years of experience in research and development. Verlinden will be responsible for process control and best practices in all advanced coatings plants worldwide, as well as managing the company’s global R&D efforts. Verlinden will head several R&D teams focused on a variety of areas, including sputter hardware and target development, vacuum and coating equipment engineering and vacuum web coatings for optical, electrical and magnetic thin film applications.

Verlinden has more than 171 patents filed as inventor or co-inventor in such fields as thin glass applications and new construction methods. Verlinden received his Executive MBA from the University of Antwerp, and his electromechanical engineering degree from University of Leuven.

Wilmert DeBosscher, Applications Manager
De Bosscher will be in charge of defining innovative large area coating solutions that contribute towards the fulfilment of the existing customer needs while anticipating future customer needs. With almost 20 years of experience in research and development, DeBosscher will coordinate the dialogue between the company’s marketing and sales teams and the research and development organisation to realise and validate the best fit-for-use products in their desired application context (e.g. for specific architectural, optical or display coatings). Prior to his new role, DeBosscher managed the company's world wide R&D and key learning efforts.

DeBosscher received his Ph.D. in experimental physics from Ghent State University, and holds a B.Sc. in solid-state plasma physics. De Bosscher is also the author of more than 70 scientific articles and holds more than 25 patents.

Glaston Expands Machine Production in China

Kyro Group's main business area Glaston Technologies will begin a more comprehensive glass machinery production in China, as the new production unit built in Tianjin starts its operations in June.

The new assembly factory is the first Glaston Technologies production unit, where both Tamglass safety glass machinery and Bavelloni pre-processing machinery are manufactured. Tamglass has been assembling flat tempering machines in Tianjin since 2001, and is now moving with Bavelloni to new facilities of their own.

The products manufactured in Tianjin are especially designed for the Chinese market. As the new factory opens, Tamglass will expand its local flat tempering machine range and also begin Chinese production of bending and tempering machines. Bavelloni's production at the new factory includes glass cutting and grinding machinery.

In addition to machine production, a training unit is planned to be set up adjacent to the assembly unit in Tianjin, showcasing the machinery manufactured there. The purpose of the unit is to function as a training environment for clientele as well as staff, and it can also be utilised in product development and testing.

Avocet Helps to Protect Essex Birds

Brighouse Yorkshire-based Avocet Hardware Ltd is helping to fund the protection of a flock of Avocets breeding at a location near Southend in Essex.

Local newspapers reported on the disappearance of Avocet eggs shortly before hatching for the past two years and this year the Essex Wildlife Trust were determined to prevent the theft from happening again. The hardware company's namesake - a coastal wader that is highly distinctive in its black and white plumage and long upwardly curved beak - is a protected species and it is an offence to take, damage or destroy its nest, eggs or young and violation of the law can result in heavy fines or even imprisonment.

The problem however is resources and Avocet has pledged a cash contribution to help support the activities of the Essex Wildlife Trust to protect the birds, including the appointment of a warden.

‘How could we not do something to protect the beautiful birds from which we derive our name?’ commented Stephanie Wright of Avocet Hardware. ‘We are glad to be able to help in this small way.’
